David Addis Named to Prominent State Committee





Early in his career, David Addis gravitated naturally to business and finance, especially to new technology and to startup ventures. Intense, dedicated and focused, he is a true dealmaker. Knowledgeable in diverse areas of law, he follows closely the fast pace set by technology and understands the changes influencing both business and personal lives. As an avid reader of professional journals, books, magazines and newspapers, he well understands the rapid developments in technology confronting his clients and the new business models available to them. More important, he acts on this knowledge to their benefit.

A superb communicator, David chose to study law as an opportunity to utilize persuasion to effect positive outcomes. Clients conducting acquisitions, dispositions and securities offerings value David’s ability to understand their issues easily and to respond quickly. They also cite him as pleasant, loyal, honorable and hard working. Chances are when a light burns after midnight in our firm, it is in David’s office where he is driving hard to complete a deal.

After law school David gained broad general experience that increasingly emphasized business and tax law. As his practice evolved, he represented more and more clients in various sophisticated business transactions, largely in financial and technology-oriented industries. David spent 10 years apprenticing at other Chicago law firms before coming to Schuyler Roche in 1998. He cites the youth of our leadership, the philosophy of our firm and our mission to be at the forefront of technology as reasons for joining us. Additionally, David has lectured on limited liability companies, S-corporations and limited partnerships, and remains active in several professional organizations.

One of David’s significant transactions was the sale of affiliated companies specializing in the manufacture, fabrication and distribution of synthetic felts, electrostatically charged filtration media, wool felts and other non-woven products to a division of one of the world’s leading financial services companies. The diverse clients he has served include:

  • numerous, private closed- and open-ended investment funds and their managers, providing them counseling and documentation in connection with the formulation thereof and the offering of investments therein
  • affiliated financial services companies providing specialist and market-making services in listed and over-the-counter issues and their principals in connection with a merger into another large competitive specialist firm, and such principals and their holding companies in connection with the subsequent acquisition by a global leader in online personal financial services
  • the seller of a bilingual English and Spanish language publication to a division of a large Chicago-area independent publishing company and the seller’s principal in the post-sale employment arrangements
  • numerous borrowers and lenders in connection with various asset-based credit facilities
  • the developer and publisher of a leading portable emergency and primary care information database program for PDAs and other handheld computers
  • the world's leading manufacturer of barcode label printing systems in connection with co-development, OEM, patent licensing and other arrangements
  • the developer of high-speed optoelectronic components and subsystems—one of only eight Illinois startups to secure venture money in the first quarter of 2001—from start to close of a $12.4 million first-round of financing
  • numerous national and local restaurants and taverns in connection with liquor and business licensing and private placements of equity interests.
